Brian Swanson is a Partner of VLP. Brian has over fourteen years experience in counseling clients in the healthcare and technology sectors on domestic and international transactions and matters. He focuses his practice on representing established companies in commercial, technology and finance transactions and on acting as outside general counsel for early-stage companies. Brian has extensive experience representing medical equipment, software, internet and other technology companies in a wide range of corporate and commercial matters, including sales, support and distribution agreements, purchasing and supply arrangements, research, development and professional services agreements, strategic alliances and other corporate partnering arrangements, mergers, acquisitions, and investments and equity and debt financings.

Prior to joining VLP, Brian worked in his own successful private practice which he established in 2003. Brian began his legal career at Shearman & Sterling in San Francisco, CA and Menlo Park, CA, where he represented companies, investors and underwriters in private placements and public offerings of securities in the U.S. and European capital markets, advised on SEC filings and public disclosures, structured and negotiated mergers and stock and asset acquisitions and negotiated secured and unsecured credit facilities for U.S. and foreign companies and banks. Brian also served as Vice President, Legal Affairs for Neoforma, where he oversaw all legal matters, and as Senior Corporate Counsel for Varian Medical Systems, Inc., where he managed a wide range of legal matters, focusing on mergers and acquisitions and corporate partnering transactions, securities law compliance, and commercial transactions.

Brian received his J.D. from the University of Minnesota Law School, where he graduated Magna Cum Laude and was a member of the Order of the Coif and a Managing Editor with the Minnesota Law Review. Brian also holds a B.A. from Dartmouth College and is a member of the State Bar of California.
